These Terms of Service ("Terms") govern your access to and use of AudioAI, a product of iiniit ("Company," "we," "us," or "our"), including our website, applications, and services. By accessing or using AudioAI, you agree to be bound by these Terms. AudioAI provides AI-powered audio transformation services including text-to-speech generation, speech-to-text transcription, voice conversion, and noise removal. These services are designed for content creators, businesses, and individuals seeking professional audio solutions. If you are using AudioAI on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

• "Company" refers to iiniit, the developer and operator of AudioAI, based in Dhaka, Bangladesh. • "Services" encompasses all AudioAI products, features, and functionalities including text-to-speech, speech-to-text, voice conversion, noise removal, and any related tools. • "User" means any individual or entity that accesses or uses our Services. • "Content" refers to any text, audio, files, or other materials you submit to our Services for processing. • "Minutes" are the units used to measure and access our audio processing services. • "Website" includes audioai.iiniit.com and all related subdomains and applications.

AudioAI provides the following audio transformation services: • Text-to-Speech (TTS): Generate natural-sounding voices from text in 50+ languages with various voice options and styles. • Speech-to-Text (STT): Convert audio recordings into accurate text transcriptions with support for multiple languages. • Voice Conversion: Transform voices using AI voice cloning while maintaining quality and natural sound. • Noise Removal: Remove background noise and enhance audio quality using AI-powered processing. We reserve the right to modify, update, or discontinue any aspect of our Services at any time with reasonable notice to users.

When creating an account, you agree to: • Provide accurate, current, and complete information during registration. • Maintain the security of your account credentials and notify us immediately of any unauthorized access. • Accept responsibility for all activities that occur under your account. • Comply with all applicable local, national, and international laws and regulations. • Use the Services only for lawful purposes and in accordance with these Terms. • Not attempt to circumvent, disable, or interfere with any security features of the Services. • Not use the Services to process content that infringes intellectual property rights, violates privacy rights, or contains illegal, harmful, or objectionable material. • Not use automated systems, bots, or scripts to access the Services in a manner that exceeds reasonable usage or impacts service performance.

AudioAI operates on a minute-based system: • Minutes are consumed based on the type and duration of audio processing. Different services have different minute consumption rates. • Subscription plans include a monthly minute allocation that resets at each billing cycle. • Additional minutes may be purchased at any time and remain valid until your subscription ends. • Paid subscriptions renew automatically unless canceled before the renewal date. • You are responsible for providing accurate billing information and ensuring payment methods are current. • Non-payment or failed payments may result in suspension of access to paid features. • Prices are subject to change with reasonable notice. Price changes will not affect current subscription periods. • Refunds are provided in accordance with our Payment Policy. You may cancel and request a refund within 24 hours of subscription purchase. • You retain ownership of all Content you submit to AudioAI for processing. • You grant us a limited, non-exclusive license to process your Content solely for the purpose of providing our Services. • The AudioAI platform, including its design, user interface, algorithms, AI models, and underlying technology, is the intellectual property of iiniit and its licensors. • Audio outputs generated by our Services are provided for your use, but the underlying AI models and technology remain our property. • You may not copy, modify, distribute, sell, or lease any part of our Services or software without explicit written permission. • Any feedback, suggestions, or ideas you provide about our Services may be used by us without any obligation to you.

You agree not to use AudioAI to: • Generate audio content that impersonates real individuals without their consent. • Create deepfakes, misleading audio, or content intended to deceive or defraud. • Produce content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable. • Process content that infringes on the intellectual property rights of others. • Generate content that promotes violence, discrimination, or illegal activities. • Create content that violates the privacy or publicity rights of any person. We reserve the right to remove any content and suspend accounts that violate these guidelines.

Your use of AudioAI is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. • We process your Content solely to provide the requested Services. • We do not use your Content to train our AI models without your explicit consent. • Audio processing is performed securely, and we implement appropriate technical measures to protect your data. • You are responsible for obtaining necessary consents from individuals whose voices or content you process through our Services. • We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Services. • We may perform scheduled maintenance that temporarily affects availability. • THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. • We do not warrant that the Services will be error-free, secure, or meet your specific requirements. • We do not guarantee the accuracy, quality, or suitability of any audio outputs generated by our Services. • AI-generated content may contain errors or inaccuracies. You are responsible for reviewing outputs before use.

TO THE MAXIMUM EXTENT PERMITTED BY LAW: • iiniit's total liability for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid to us in the 12 months preceding the claim. • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. • We are not responsible for any losses resulting from service interruptions, data loss, unauthorized access to your account, or actions of third parties. • Some jurisdictions do not allow limitation of liability for certain damages, so some of these limitations may not apply to you.

You agree to indemnify, defend, and hold harmless iiniit, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: • Your use of the Services or violation of these Terms. • Content you submit or process through the Services. • Your violation of any third-party rights, including intellectual property or privacy rights. • Any misuse of the audio content generated through our Services.

• You may stop using the Services and close your account at any time. • To cancel a paid subscription, do so before your next billing date to avoid charges for the next period. • We may suspend or terminate your access immediately without notice for violations of these Terms, illegal activity, or actions that harm other users or our Services. • Upon termination, your right to use the Services ceases immediately, and we may delete your account data after a reasonable retention period. • Provisions that by their nature should survive termination will remain in effect, including intellectual property, limitation of liability, and indemnification.

• We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. • Material changes will be communicated via email to your registered address or through a prominent notice on our Services. • We will provide reasonable notice before changes take effect. • Continued use of the Services after changes become effective constitutes acceptance of the updated Terms. • If you do not agree with the changes, you should stop using the Services before the changes take effect.

• These Terms are governed by the laws of Bangladesh, without regard to conflict of law principles. • Any disputes arising from these Terms or your use of the Services will be resolved in the courts of Dhaka, Bangladesh. • You agree to attempt to resolve any disputes informally by contacting us before initiating formal legal proceedings. • You waive any objections to jurisdiction and venue in the courts specified above.

• Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and iiniit regarding AudioAI. • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. • Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. • Assignment: You may not assign or transfer your rights under these Terms without our consent. We may assign our rights and obligations without restriction. • Force Majeure: We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control.
